The Board of Directors approves FY 2025 preliminary results. <\/b>
\nExtraordinary transactions for the sale of Defence and the Tata Motors Tender Offer<\/b>
\nare on track for completion in line with previously communicated timelines.<\/b><\/p>\n

Consolidated revenues<\/b> amounted to \u20ac13,428 million<\/b> compared to \u20ac14,417 million in 2024. Net<\/b>\u00a0revenues of Industrial Activities<\/b> were \u20ac13,129<\/b>\u00a0million<\/b> compared to \u20ac14,064 million in 2024, mainly due to lower volumes in Europe for Truck and Powertrain and an adverse foreign exchange rate impact.<\/p>\n

Adjusted EBIT <\/b>was \u20ac645<\/b>million<\/b> compared to \u20ac892\u00a0million in 2024, with a 4.8<\/b>%<\/b>margin <\/b>(6.2% in 2024). Adjusted EBIT of Industrial Activities<\/b> was \u20ac528<\/b>\u00a0million<\/b> (\u20ac761\u00a0million in 2024), mainly driven by lower volumes and unfavorable product cost in Truck and Bus, partially offset by cost containment actions in selling, general and administrative (SG&) expenses. Adjusted EBIT margin of Industrial Activities<\/b> was 4.0%<\/b> (5.4% in 2024).<\/p>\n

Adjusted net income<\/b> was \u20ac312 million<\/b> (\u20ac520\u00a0million in 2024) with adjusted diluted earnings per share<\/b> of \u20ac1.16 <\/b>(\u20ac1.91 in 2024).<\/p>\n

Net financial expenses<\/b> amounted to \u20ac222 million <\/b>compared to \u20ac192 million in 2024 which included a positive impact of the Argentinian hyperinflation accounting (no longer applicable in this country starting from 1st<\/sup> January 2025).<\/p>\n

Reported income tax expense was \u20ac82 million, with an adjusted Effective Tax Rate<\/b> (adjusted ETR) of 26<\/b>%<\/b> in 2025 which reflects the different tax rates applied in the jurisdictions where the Group operates and some other discrete items.<\/p>\n

Free cash flow of Industrial Activities<\/b> was negative <\/b>at \u20ac109<\/b>\u00a0million <\/b>(positive at \u20ac240\u00a0million in 2024), mainly driven by lower volumes and a one-off negative impact from exceptionally high inventory levels in the Bus division at year-end.<\/p>\n

Available liquidity<\/b> of Continuing Operations was \u20ac4,693 million<\/b> as of 31st<\/sup> December 2025, including \u20ac1,900\u00a0million of undrawn committed facilities. Available liquidity of Discontinued Operations was \u20ac499 million as of 31st<\/sup> December 2025.<\/p>\n

Continuing Operations exclude the Defence business which, following the already announced signing of a definitive agreement to sell this business, has been classified as Discontinued Operations. 2024 comparative figures have been recast consistently.<\/i><\/p>\n
